EYECLOUD ROMANIA – PROFESSIONAL MONITORING & SAAS SERVICE AGREEMENT

Effective Date: March 01, 2026

1. CONTRACTUAL RELATIONSHIP

1.1. Parties: This Agreement is a formal contract between Eyecloud Romania ("Provider"), based in Ploiești, Prahova, and the professional entity ("Client") subscribing to our media services ( photography and video creation ), video monitoring and project management solutions.
1.2. Binding Consent: By initiating the registration process or accessing the platform at eyecloud.ro, you acknowledge that you have reviewed and fully accept these terms. If you act on behalf of a corporation, you warrant that you possess the necessary legal power to bind said corporation to these obligations.
1.3. Professional Use: This service is strictly a B2B (Business-to-Business) tool. Use for personal, non-commercial, or residential surveillance is prohibited.

2. PROPRIETARY TECHNOLOGY & USAGE RIGHTS

2.1. Authorized Access: Eyecloud grants the Client a limited, non-exclusive, and non-assignable right to utilize the Platform for internal business monitoring during the subscription term.
2.2. Competitive Exclusion: To protect trade secrets and industrial property, access to the Platform is strictly denied to any person or entity that develops, markets, or operates competing video monitoring or time-lapse software. Any unauthorized access for benchmarking or reverse engineering will be prosecuted.
2.3. Credential Management: User accounts are individual. While licenses can be transferred to a new employee if a previous user leaves the company, sharing a single set of credentials between multiple people is a breach of security policy.

3. DATA MANAGEMENT & STORAGE PROTOCOLS

2.1. Data Custody: Eyecloud processes "Project Data" (video, images, logs) as a technical intermediary. The Client remains the sole owner of all visual content captured at their sites.
2.2. Automatic Rotation (FIFO): Our servers operate on a "First-In, First-Out" (FIFO) cycle. When the allocated storage limit is reached, the oldest data is automatically overwritten by new footage. It is the Client's responsibility to export and save any critical archives before they are cycled out.
2.3. System Notifications: By using a cloud-hosted service, the Client agrees to receive essential system updates, security alerts, and maintenance windows via email, as these are critical for the safe operation of the monitoring infrastructure.

4. FINANCIAL TERMS & SUSPENSION

4.1. Billing: All service fees are non-refundable and must be paid according to the selected plan.
4.2. Default on Payment: If an invoice is overdue, Eyecloud reserves the right to restrict access to live feeds and platform tools. If the account remains in default for more than 30 days, all stored project data may be permanently purged from our infrastructure to free up server capacity.

5. LIABILITY LIMITS & OPERATIONAL RISKS

5.1. Service Ceiling: The maximum financial liability of Eyecloud for any technical error or service interruption shall not exceed the total subscription fee paid by the Client for the single month immediately preceding the incident.
5.2. Infrastructure Dependencies: Eyecloud is not liable for data gaps caused by local power outages, internet connectivity failures at the construction site, or third-party cloud provider downtimes.

6. MODIFICATIONS & LAW

6.1. Updates: We may revise these terms to reflect legal or technical changes. Clients will be notified 15 days in advance. Continued use constitutes acceptance of the new terms.
6.2. Jurisdiction: This agreement is governed by Romanian law. Any legal disputes will be resolved exclusively by the courts in Ploiești, Romania.
